1. Introduction

 

These Terms and Conditions ("Agreement") govern the services provided by Deliveries Unlimited. By using our services, you ("Client") agree to comply with and be bound by this Agreement.

User Agreement

This Agreement constitutes a binding User Agreement between you and Deliveries Unlimited. It governs your use of our website, services, and all related transactions.

Scope of Agreement

​

This Agreement sets forth the conditions under which you may access and use our services, defining the mutual rights and responsibilities between you and Deliveries Unlimited. By using our services, you acknowledge that you have read, understood, and agree to adhere to these terms, including the limitations outlined in our Legal Disclaimer.

Acceptance of Terms

​

Your use of our website and services is conditioned upon your acceptance of and compliance with these Terms and Conditions. Please note that your use of our services is also subject to the limitations outlined in our Legal Disclaimer. If you do not agree with any part of these terms, you must discontinue your use of our website and services.

Governing Law

This Agreement is governed by the laws of the Province of Ontario, Canada.

 

2. Definitions

 

• "Company," "We," "Us," and "Our" refer to Deliveries Unlimited.

• "Client," "You," and "Your" refer to the individual or entity using our services.

​

• "Services" refers to the print design, printing, and flyer delivery services offered by Deliveries Unlimited.

​

• "Order" refers to a request for services submitted by the Client.

​

• "Design" refers to any artwork or graphic design work provided by our in-house team or submitted by the Client.

​

• "Product" refers to any printed materials produced by our Company or supplied by the Client.

 

3. Services Provided

 

Deliveries Unlimited offers a range of services, including but not limited to:

1. Custom Design: Custom graphic designs tailored to your specifications.

2. Printing: Printing services for products such as flyers, brochures, business cards, and more.

3. Flyer Delivery: Distribution of printed materials to homes and businesses across Canada.

4. Ordering Process

 

a. Initiate Contact

 

To begin your order, please contact us with details specific to your project. Don’t worry if you’re unsure about all the details at this point; our team will work with you to gather the necessary information and clarify details to ensure everything is properly in place before we proceed with your order. b. Order Confirmation

 

After reviewing your project details with you, we will send you a follow-up email confirming the project’s specifics and providing a quote based on the scope of your project. 

 

You are responsible for reviewing all order details to ensure their accuracy. 

 

If there are any issues or errors regarding your order details, please contact us as soon as possible so we can make corrections and provide you with updated details in writing.

 

Customer Acknowledgment: By submitting an order to Deliveries Unlimited, clients acknowledge that they have verified all content and are satisfied with the provided specifications and layout for any services requested. They understand that the final deliverables will be produced based on the information provided and accept all responsibility for any errors or omissions made by the client. Clients also agree to the Terms and Conditions set forth by Deliveries Unlimited.

 

c. Payment 

 

Once you’ve reviewed and confirmed your project’s details, full payment must be made before your order is considered “confirmed” and any work begins. Payments can be made by cheque or bank transfer. All quotes are in Canadian dollars and remain valid for 30 days.

 

Once the order is confirmed and payment is received, your order is considered “in production” and no changes can be made.

Production Timeline

 

Once your order is confirmed and payment is received, Deliveries Unlimited will provide an estimated timeline for your order. These timelines are subject to change based on project complexity, current workload, and the availability of third-party partners. While we make every effort to adhere to these estimates, unforeseen circumstances may lead to delays. We will communicate any significant changes to your order’s timeline promptly and work diligently to resolve any issues. Please note that Deliveries Unlimited is not liable for delays caused by third-party partners or external factors beyond our control.

 

Service-Specific Production Details

 

• Design Services: You will receive a digital proof of the design for review. You are entitled to request up to two rounds of revisions at no extra cost. Additional revisions may incur extra charges.

• Design + Print: If your design services are paired with printing services, final approval of the design proof is required before proceeding to print.

​

• Printing Services: You will receive a digital proof for review and approval. Production (printing) will not commence until you approve the proof. Approvals must be received by 11 a.m. EST for production to start on that day.

​

• Flyer Deliveries: Delivery will proceed based on the confirmed order specifications.

​

5. Payment Terms

 

Payment Requirement: Full payment is required before any orders are processed and production begins.

 

Pricing:  All prices are quoted in Canadian dollars and remain valid for 30 days unless otherwise specified in writing. Please note that prices are subject to change without prior notice.

 

Payment Methods: Payments can be made via cheque or electronic bank transfer. Full payment is required before we process any orders.

 

Late Payments: All orders must be prepaid unless credit approval has been granted by Deliveries Unlimited. The denial of credit approval does not relieve the client of their obligation to comply with these terms and conditions. If credit terms are extended, payment is due upon receipt of the invoice, and accounts will be considered past due if payment is not made within 30 days. A late payment charge of 1.5% per month (18% per annum) will be applied. Payments made in foreign currency must align with the prevailing Canadian exchange rate at the time of payment.

6. Design and Artwork Terms

 

Customer Acknowledgment: By confirming your order details in the order confirmation email, you acknowledge that you have verified all order specifications for accuracy. You understand that the final design will match the approved specifications unless otherwise specified in writing. You accept full responsibility for any typographical or layout errors present in the approved proof.

 

Revisions: You will receive a digital proof of the design for review. Two rounds of revisions are included in the service. Additional revisions will incur a charge of $50 per revision. Clients should submit revision requests clearly and promptly.

 

Design + Printing Services – Proofing: If your design services are paired with printing services, you will receive a design proof for approval before it is sent to print. It is the client's responsibility to thoroughly review the proof for accuracy, including all details and specifications. Final approval of the design proof is required before proceeding to print. Deliveries Unlimited is not liable for any errors or omissions once the proof has been approved. You understand that the final design will match the approved specifications exactly unless otherwise specified in writing. You accept full responsibility for any typographical or layout errors present in the approved proof.

 

Ownership of Artwork: All custom designs created by our team remain the property of Deliveries Unlimited until full payment is received. Upon receipt of payment, ownership will transfer to the client. Deliveries Unlimited retains the right to use the designs for portfolio purposes unless otherwise specified by the client. If a design remains unpaid, Deliveries Unlimited may retain the design for a specified duration.

7. Printing Terms

 

Customer Acknowledgment: By submitting an order to Deliveries Unlimited, clients acknowledge that they have verified all content of their order and are satisfied with the provided specifications and layout for any services requested. They understand that the final deliverables will be produced based on the information provided and accept all responsibility for any errors or omissions made by the client. Clients also agree to the Terms and Conditions set forth by Deliveries Unlimited.

Using Your Own Artwork: When using your own artwork, the deadlines for artwork submission will be provided upon order confirmation. Artwork must be submitted in PDF format and in CMYK color mode, with a minimum resolution of 300 DPI and include a bleed and trim marks. Submissions that do not meet these specifications may compromise the final output quality, leading to unsatisfactory results. It is the client's responsibility to ensure that all artwork submitted to Deliveries Unlimited is prepared correctly before submission.

Content Restrictions: Please note that Deliveries Unlimited will not print materials containing explicit language, pornography, or any illegal content. 

 

Copyright: All material used on the Deliveries Unlimited website or in the production of your order is subject to copyright protection. Redistribution, copying, or republishing any material from Deliveries Unlimited without explicit permission is strictly prohibited. Clients are prohibited from printing or reproducing any trademarks, service marks, or logos that are not owned or licensed to them, including any copyrighted materials from photographers, artists, writers, or other authors of original works.

Customer Responsibility & Liability:  By placing an order, clients confirm they have obtained all necessary permissions or licenses for any copyrighted or trademarked materials provided. Deliveries Unlimited assumes that clients have fully complied with all applicable copyright and intellectual property laws. We are not responsible for any infringements resulting from the printing of customer-provided materials. Clients agree to indemnify and hold Deliveries Unlimited harmless from any legal actions, damages, or claims related to the unauthorized use of copyrighted or trademarked content.

Proof and Layout Approval: It is the client’s responsibility to thoroughly review and approve the final print proof and layout before printing commences. Deliveries Unlimited is not liable for any errors in the final product arising from issues such as spelling, grammar, punctuation, graphics, bleeds, damaged fonts, overprinting, improperly formatted files, incorrect form fields, or page order discrepancies. By approving the print proof, clients confirm that they have verified the document for accuracy.

 

Delivery Times: Please be aware that delivery timelines may be affected by any delays in the proof approval process. Production will only commence once the print proof has been approved by the client. Any delays in receiving approval may result in extended production and delivery times. Clients will be informed promptly of any changes to the expected delivery schedule.

 

Turnaround Time: Typical turnaround times are 5-7 business days from the time the final artwork is approved by the client. This is an estimate, and actual production times may vary based on order complexity, our current workload, and other factors.

 

Print Quality: We strive to maintain the highest print quality; however, slight color variations may occur due to differences between printing processes and how colors display on monitors. All artwork, designs, and images must be provided in CMYK format with a minimum resolution of 300 DPI. Deliveries Unlimited is not responsible for color shifts resulting from the conversion of RGB or spot colors to CMYK, nor for fuzzy, distorted, or pixelated prints caused by low-resolution artwork provided by the client.

 

Print Errors: If a printing error occurs due to a mistake on our part, we will reprint the affected items at no additional cost. Claims must be made within 3 days of receiving the order.

 

Trimming and Folding: Industry-standard allowances apply for trimming and folding. Deliveries Unlimited is not liable for up to 0.0625" of trimming and folding variance on each side. We recommend designing your artwork to account for these minor variances.

Overruns and Underruns: Overruns and underruns not exceeding 5% of the ordered quantity shall be considered an acceptable delivery.

 

Shipping & Delivery of Printed Items

 

• Delivery Methods: We offer a range of delivery options, including 1-day UPS and FedEx shipping, as well as local delivery services. Shipping costs will be calculated based on the delivery method selected. ​Please note that, at this time, we only ship within Canada and the United States.

 

• Delivery Schedule: Estimated delivery times will be provided when your order is placed. Please note that these are estimates, and actual delivery times may vary based on the carrier’s performance. Deliveries Unlimited is not responsible for delays caused by third-party carriers.

​

• Risk of Loss: Once your order is handed over to the carrier, the risk of loss or damage transfers to the client. Deliveries Unlimited is not liable for any loss, damage, or delays that occur during shipping.

​

• Undeliverable Items: If an item is undeliverable due to incorrect or incomplete address information provided by the client, client unavailability, restricted delivery locations, failure to collect the package, or specific delivery restrictions provided by the carrier, the client is responsible for the cost of reshipping the order.

​

• Shipping / Tracking Information: Clients will receive tracking information for their orders once they have shipped. In the event of a delivery error or significant delay caused by third-party carriers, the client must resolve the issue directly with the carrier. Deliveries Unlimited will assist where possible but does not take responsibility for third-party shipping issues.

8. Flyer Delivery Terms

 

Customer Acknowledgment: By placing an order with Deliveries Unlimited, clients confirm that they have reviewed and approved all details in the order confirmation email. Clients may provide their own delivery specifications, such as routes, postal codes, and addresses. Alternatively, we can assist in developing a tailored delivery strategy based on the client's needs.

 

Regardless of the approach, it is the client's responsibility to review, verify, and approve the delivery details we provide before proceeding to production (postal prep). Any errors or omissions in the provided information will be the client's responsibility. Deliveries Unlimited is not liable for missed deliveries resulting from incorrect or incomplete information. By proceeding with the order, clients agree to the Terms and Conditions set by Deliveries Unlimited.

 

Content Restrictions: Deliveries Unlimited does not deliver / distribute materials containing explicit language, pornography, or any illegal content. Additionally, we do not provide delivery services for cannabis or cannabis-related products.

Minimum Order Quantities: All orders must meet the minimum quantity requirements set by Deliveries Unlimited. We reserve the right to adjust or refuse orders that do not meet these requirements.

 

Delivery Quotes and Material Responsibility: Quotes are based on receiving materials at our postal prep facility and do not cover the cost of pick-up or shipping to our facility. Clients are responsible for ensuring materials arrive by the specified deadline.

Delivery Requirements: For flyer, postcard, and brochure deliveries, all materials must adhere to the following guidelines:

​

• Flyers must be bundled in groups of 100 and securely double-banded. To ensure flat, compact bundles, flyers can be flipped or rotated into equal quantities of 25 or 50 as needed.

• Bundles should be bulked on skids, brick-stacked in lifts no higher than 6” with a maximum weight of 4 kg per bundle.

• Skids must be shrink-wrapped, strapped, and topped with a corrugated cardboard cover.

• Both skids and boxes must be clearly labeled with skid tags indicating the client’s name, event date, version, and quantity.

​

It is the client’s responsibility to ensure materials meet these requirements to facilitate proper delivery.

 

Residential vs. Business Delivery: Our standard flyer package covers delivery to residential households only. Business deliveries are available separately and will incur additional fees. Contact us for a custom quote.

 

Delivery Coverage: Flyers will be delivered to the agreed-upon areas specified in your order. However, Deliveries Unlimited is not responsible for undelivered flyers due to restricted zones, inaccessible locations, or areas outside standard delivery routes. Delivery is limited to households in Canada Post’s Consumer Choice program, which allows residents to opt out of receiving unaddressed advertising mail.

 

Delivery Schedule: Estimated delivery times will be provided upon order confirmation. These estimates are based on standard delivery times but may vary due to third-party carrier performance. Deliveries Unlimited is not responsible for delays caused by carriers outside our control.

 

Third-Party Distribution: Deliveries Unlimited relies on third-party partners, including Canada Post, to distribute flyers. While we work closely with these partners to ensure timely deliveries, we cannot guarantee delivery dates. We are not liable for delays or issues resulting from third-party services.

 

Delivery Timing: Canada Post typically distributes neighborhood mail over a three-day window once material has been received into the local postal outlet. Deliveries Unlimited is not responsible for delays caused by Canada Post or other carriers.

 

Holiday Impact on Delivery: Receiving and delivery schedules may be affected by holidays when distribution partners are closed. Clients will be informed of holiday-related delays, particularly during the December season.

 

Flyer Handling & Care: Our distribution partners are instructed to handle flyers with care during transit. However, Deliveries Unlimited is not responsible for damage caused by third-party carriers or environmental factors during transit or delivery.

 

 9. Refunds, Cancellations & Changes

 

Customer Acknowledgment: By submitting an order to Deliveries Unlimited, clients acknowledge that they have verified all content and are satisfied with the provided specifications and layout for any services requested. They understand that the final deliverables will be produced based on the information provided and accept all responsibility for any errors or omissions made by the client. Clients also agree to the Terms and Conditions set forth by Deliveries Unlimited.

 

Changes & Cancellations: Once order processing has started, full cancellations are typically not possible. If you need to make changes or inquire about a partial cancellation, please contact us immediately. While we will make every effort to accommodate your request, we cannot guarantee changes or cancellations will be possible at every stage of production. If adjustments or partial cancellations are allowed, you may be eligible for a partial refund.

 

Fee Retention: Customers remain responsible for any fees or costs incurred up to the point of the change or cancellation. Additional fees, such as material handling or disposal charges, may apply depending on the timing and circumstances.

 

Refunds: Refunds will only be considered in cases where the order has not moved forward into production, or in cases of proven non-delivery or if the delivered work significantly deviates from the approved specifications due to fault by Deliveries Unlimited. Our liability is limited to the value of the design, printing, or delivery services provided, and we are not responsible for any indirect or consequential losses.

 

Limited Liability: Deliveries Unlimited's liability is limited to the cost of the services provided. We will not be held liable for any direct, indirect, or consequential losses, including missed deadlines, lost profits, or business disruptions resulting from using our services, as further detailed in our Legal Disclaimer.

 

Policy Modifications: Deliveries Unlimited reserves the right to update or modify this Cancellation & Refund Policy at any time without prior notice.

 

10. Intellectual Property

 

Client Rights: Clients retain ownership of any original artwork they provide. Deliveries Unlimited will not use or share client designs without explicit permission.

 

Ownership of Custom Designs: All custom designs created by Deliveries Unlimited remain the property of Deliveries Unlimited until full payment is received. Upon receipt of payment, ownership will transfer to the client.

 

Client Responsibility: Clients must ensure that all materials provided do not infringe on any third-party intellectual property rights. Deliveries Unlimited assumes no liability for any infringement arising from client-provided materials.

 

Liability: Deliveries Unlimited will not be held responsible for any intellectual property disputes that arise from customer-provided designs.

 

11. Confidentiality

 

Confidential Information: Deliveries Unlimited is committed to safeguarding customer data and proprietary business practices or strategies. Confidential information will not be disclosed to third parties without explicit consent from the client, except as required by law.

 

Data Protection: Deliveries Unlimited respects your privacy and is dedicated to protecting your personal information in accordance with our Privacy Policy. For more details, please refer to the policy.

12. Limitation of Liability

 

Disclaimers: Deliveries Unlimited does not guarantee that our services will meet all client expectations or be entirely error-free. Additionally, delivery timeframes and print quality may be affected by external factors and, thus, cannot be guaranteed.

 

Liability Limits: Our liability is strictly limited to the total value of the services provided. We are not liable for any direct, indirect, incidental, or consequential damages, including lost profits or other financial losses arising from the use of our services. Deliveries Unlimited is not liable for any damages, losses, or claims arising from the use of our services, as further detailed in our Legal Disclaimer, which forms an integral part of these Terms and Conditions.

 

Indemnification: Clients agree to indemnify, defend, and hold Deliveries Unlimited harmless from any third-party claims, liabilities, damages, or costs (including legal fees) resulting from their use of our services or from any materials (text, photographs, images, graphics, etc.) incorporated into the products.

 

13. Third-Party Liability

 

Deliveries Unlimited is not liable for any failures caused by third-party services, including printing partners and delivery services we employ or partner with.

14. Force Majeure

 

Deliveries Unlimited will not be held liable for any failure to perform its obligations under this Agreement if such failure is the result of circumstances beyond our reasonable control, including but not limited to acts of God, war, riots, embargoes, acts of civil or military authorities, fire, flood, accident, strikes, or other labor disturbances.

15. Governing Law & Dispute Resolution

 

In the event of a dispute arising from this Agreement, the parties agree to first attempt to resolve the dispute through informal discussions. If the dispute cannot be resolved informally, the parties agree to submit to mediation in accordance with the laws of Ontario, Canada.

16. Amendments

 

Deliveries Unlimited reserves the right to amend these Terms and Conditions at any time. Any amendments will be effective upon posting on our website. Continued use of our services following any changes constitutes acceptance of the new terms.
